END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement" or "EULA") is a legal contract between you ("User," "you," or "your") and IRONS & MARKS, A BRANDING COMPANY, L.L.C., an Arizona limited liability company ("Company," "we," "us," or "our"), which has filed, or intends to file, Articles of Amendment with the Arizona Corporation Commission to change its name to Broca AI Speech LLC, and which operates the Broca AI Speech platform and related services accessible at brocaaispeech.com (the "Platform" or "Software"). BY CLICKING "I AGREE," CHECKING THE ACCEPTANCE BOX, OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

1. Grant of License

Subject to your compliance with this Agreement, including the restrictions in Sections 5 and 6, Broca AI Speech LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Outputs solely for your personal, caregiving, or internal business purposes, and only in accordance with this Agreement, any applicable documentation, and any usage limits communicated by the Company. No rights are granted by implication, estoppel, exhaustion, or otherwise. All rights not expressly granted are reserved by Broca AI Speech LLC and its licensors.

2. Description of Services

Broca AI Speech provides an artificial intelligence-powered speech and language platform that may include, without limitation:

  1. AI-generated speech synthesis and voice modeling tools;

  2. Speech recognition, transcription, and analysis features;

  3. Language learning, coaching, and communication assistance tools;

  4. Voice cloning and customization features (subject to separate consent requirements);

  5. APIs, integrations, and related developer tools;

  6. Any other features or services offered on or through brocaaispeech.com.

For purposes of this Agreement, “Outputs” means any speech, text, transcription, suggested response, audio output, voice output, analysis, recommendation, prompt response, or other content generated, displayed, produced, or made available through the Platform.

3. Eligibility

You must be at least 18 years of age to use the Platform. By accessing or using the Platform, you represent and warrant that you are 18 years of age or older, have the legal capacity to enter into binding agreements, and are not prohibited from using the Platform under applicable law. If you are accessing the Platform on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.

4. Account Registration

To access certain features, you may be required to create an account. You agree to:

  1. Provide accurate, current, and complete information during registration;

  2. Maintain and promptly update your account information;

  3. Maintain the confidentiality of your login credentials;

  4. Accept responsibility for all activities occurring under your account;

  5. Notify us immediately of any unauthorized use of your account.

5. Intellectual Property Rights

5.1 Company Ownership. The Platform and all related technology and materials, including all software, source code, object code, algorithms, models, model weights, prompts, prompt structures, workflows, user interfaces, designs, text, graphics, logos, audio samples, voice samples, datasets, content libraries, documentation, APIs, integrations, configurations, selections, arrangements, compilations, and Outputs (collectively, "Company Materials"), are owned by or licensed to Broca AI Speech LLC and are protected by U.S. and international intellectual property laws, including copyright, trademark, patent, and trade secret laws. This Agreement does not convey any ownership interest in the Platform or Company Materials.

5.2 User Content. You retain ownership of any audio recordings, text, or other content you submit to the Platform ("User Content"). User Content does not include Company Materials or Outputs. By submitting User Content, you grant Broca AI Speech LLC a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, reproduce, analyze, and create technical derivatives of User Content solely as necessary to operate, provide, secure, support, maintain, improve, and develop the Platform, subject to the Privacy Policy and applicable law.

5.3 Feedback. If you provide suggestions, ideas, improvements, requests, recommendations, or other feedback regarding the Platform, you grant Broca AI Speech LLC a perpetual, irrevocable, worldwide, royalty-free right to use, disclose, reproduce, license, distribute, and otherwise exploit such feedback without restriction, compensation, or attribution to you.

5.4 Outputs; Limited Use Only. Subject to your compliance with this Agreement, Broca AI Speech grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use Outputs solely for your personal, caregiving, or internal business purposes in connection with authorized use of the Platform. All restrictions on copying, commercialization, derivative works, AI training, scraping, and other prohibited uses are set forth in Section 6.

5.5 Reservation of Rights; Unauthorized Materials. Broca AI Speech reserves all rights in the Platform, Company Materials, and Outputs not expressly granted in this Agreement. Any unauthorized copy, derivative work, adaptation, dataset, model, compilation, or other material derived from the Platform, Company Materials, or Outputs constitutes a material breach and shall be owned by Broca AI Speech to the maximum extent permitted by law.

5.6 Proprietary Character of Platform Materials. The Platform, Company Materials, Outputs, and any data, content, or information obtained from the Platform are proprietary to Broca AI Speech or its licensors. Restrictions on AI training, scraping, benchmarking, competitive use, and related conduct are set forth in Section 6.

5.7 Trademarks and Proprietary Notices. You shall not remove, obscure, alter, or misrepresent any copyright, trademark, proprietary, attribution, or notice associated with the Platform, Company Materials, or Outputs. No right or license is granted to use the Broca AI Speech name, trademarks, service marks, trade dress, logos, or branding except as expressly authorized in writing.

6. Prohibited Conduct

You agree that you will not, and will not permit any third party to:

  1. Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;

  2. Generate, distribute, or transmit content that is defamatory, obscene, harassing, hateful, or otherwise objectionable;

  3. Create synthetic voices or speech to impersonate, deceive, defraud, or mislead any person without that person’s express consent;

  4. Use the Platform to create deepfakes or non-consensual synthetic media;

  5. Reverse engineer, decompile, disassemble, or attempt to derive the source code, object code, algorithms, models, model weights, underlying structure, ideas, know-how, or other technical components of the Platform;

  6. Sublicense, sell, resell, rent, lease, transfer, assign, or otherwise provide access to the Platform to any third party;

  7. Interfere with, disrupt, or overburden the Platform or servers or networks connected to the Platform;

  8. Use automated means, including bots, scrapers, crawlers, or similar technologies, to access or interact with the Platform without our written consent;

  9. Circumvent any access controls, security features, usage limitations, metering functions, or technical protection measures;

  10. Use the Platform in any manner that could damage, disable, overburden, impair, or compromise the Platform;

  11. Copy, reproduce, distribute, publish, display, perform, transmit, sell, license, sublicense, commercialize, modify, adapt, translate, enhance, alter, transform, create derivative works from, or otherwise exploit the Platform, Company Materials, or Outputs;

  12. Use the Platform, Company Materials, Outputs, or related data, content, or information to create, train, fine-tune, validate, test, benchmark, improve, develop, compare, reverse engineer, analyze, or support any AI model, software, dataset, product, service, or competing technology without prior written consent; and

  13. Scrape, crawl, harvest, mine, extract, cache, compile, aggregate, collect, or use Company Materials or Outputs, manually or automatically, in any dataset, corpus, knowledge base, model input, output comparison, training set, evaluation set, or similar repository.

7. Voice Cloning & Consent Requirements

If you use any voice cloning, voice synthesis, or voice replication feature of the Platform, you represent and warrant that you have obtained explicit, informed written consent from the individual whose voice is being replicated. You may not use voice cloning to replicate the voice of any person without their prior written consent, and any such use in violation of this provision is grounds for immediate termination of your access and may expose you to civil and criminal liability.

8. Privacy and Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into this Agreement by reference and available at brocaaispeech.com/privacy. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. You understand that audio data and speech recordings submitted to the Platform may be processed by AI systems to deliver the Platform’s services.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BROCA AI SPEECH, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  1. Warranties of merchantability, fitness for a particular purpose, or non-infringement;

  2. Warranties that the Platform will be uninterrupted, error-free, or free of viruses;

  3. Warranties regarding the accuracy, reliability, completeness, or suitability of AI-generated output or Outputs.

The Company makes no representation or warranty that Outputs are suitable for any particular use or that any use of Outputs outside the limited license granted in this Agreement will not infringe, misappropriate, or violate the rights of any third party. You are solely responsible for your use, publication, distribution, or other exploitation of Outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BROCA AI SPEECH, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Broca AI Speech, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’  fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of this Agreement; (c) your violation of any third-party rights, including intellectual property or privacy rights; (d) any content you submit to the Platform; or (e) any unauthorized use of the Platform, Company Materials, Outputs, or User Content.

12. Term and Termination

This Agreement is effective from the date you first accept it and continues until terminated. We may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination:

  1. All licenses granted to you under this Agreement immediately terminate;

  2. You must immediately cease all use of the Platform, Company Materials, and Outputs;

  3. You must delete or destroy all copies, excerpts, datasets, cached materials, derivative materials, and other materials containing or derived from the Platform, Company Materials, or Outputs in your possession or control;

  4. Upon request, you must certify such deletion or destruction in writing;

Provisions that by their nature should survive termination shall survive, including Sections 1, 5, 6, 9, 10, 11, 12, 14, and 15 and all payment, ownership, confidentiality, remedy, and restriction provisions that by their nature should survive.

13. Updates and Modifications

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by updating the "Last Updated" date above or, where appropriate, by sending an email to the address associated with your account. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Agreement. Amendments relating to intellectual property ownership, licenses, permitted uses, restrictions, confidentiality, derivative works, data usage, AI-training restrictions, remedies, or dispute resolution apply to all prior and ongoing use of the Platform to the maximum extent permitted by law.

14. Governing Law and Dispute Resolution

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

14.2 Arbitration. Any dispute, controversy, or claim arising out of or relating to this Agreement or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that you may assert claims in small claims court.

14.3 Class Action Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION.

14.4 Venue. For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.[.

15. General Provisions

15.1 Entire Agreement. This Agreement, together with the Privacy Policy and any other agreements incorporated by reference, constitutes the entire agreement between you and Broca AI Speech, LLC regarding the Platform.

15.2 Severability. If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

15.3 Waiver. Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of that right or provision.

15.4 Assignment. You may not assign or transfer this Agreement or any rights hereunder without our prior written consent. We may freely assign this Agreement.

15.5 Equitable Relief. You acknowledge that any actual or threatened breach of Sections 5 or 6 may cause irreparable harm to Broca AI Speech for which monetary damages would be inadequate. Broca AI Speech may seek injunctive relief, specific performance, and other equitable relief without posting bond, in addition to any other rights or remedies available at law or in equity.

15.7 Name Change. The Company was formed in Arizona under the name IRONS & MARKS, A BRANDING COMPANY, L.L.C. and has filed, or intends to file, Articles of Amendment with the Arizona Corporation Commission ("ACC") to change its legal name to Broca AI Speech LLC. This name change shall be deemed effective upon approval of the Articles of Amendment by the ACC, notwithstanding that publication of the amendment in accordance with Arizona law may occur thereafter. Upon such effective date, all references in this Agreement to "IRONS & MARKS, A BRANDING COMPANY, L.L.C." shall be deemed to refer to "Broca AI Speech LLC." The change of the Company's name shall not affect the validity, enforceability, or continuity of this Agreement, and shall not be construed as an assignment, novation, or transfer of any rights or obligations hereunder. The Company remains the same legal entity, holding the same Employer Identification Number, before and after such name change.

BY USING THE BROCA AI SPEECH PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
